IM Cannabis reports annual meeting results and updates

IM Cannabis Corp. (NASDAQ: IMCC) (CSE: IMCC), a prominent medical cannabis company operating in Israel and Germany, has announced key updates following its annual general and special meeting held on May 23, 2025.

During the meeting, 60 shareholders were present, either in person or by proxy, representing 1,414,501 Common Shares. This figure accounts for 45.84% of the total issued and outstanding Common Shares as of the record date for the meeting. Shareholders unanimously approved all proposed resolutions.

Election results from the meeting showed strong support for the nominees listed in the management information circular dated March 31, 2025. The following directors were elected with their respective vote tallies: – Oren Shuster: 1,061,331 votes (99.61%) – Moti Marcus: 953,371 votes (89.47%) – Einat Zakariya: 947,600 votes (88.93%) – Brian Schinderle: 954,424 votes (89.57%) – Shmulik Arbel: 1,054,377 votes (98.95%)

In addition to the board elections, shareholders established the number of directors at five and reappointed Fahn Kanne & Co. Grant Thornton Israel as the company’s auditor for the coming year. The audit committee was authorized to set their compensation.

Shareholders also approved several important resolutions: – Designation of Messrs. Oren Shuster and Rafael Gabay as Control Persons, as defined by the policies of the Canadian Securities Exchange (CSE). – Completion of the Focus Transaction. – Adoption of a new Equity Incentive Plan, which replaces the existing stock option plan and restricted share unit plan.

These updates reflect IM Cannabis’s commitment to maintaining transparency and shareholder engagement as it continues to expand its operations in the medical cannabis sector.
